User Agreement
1.GENERAL RULES AND DEFINITIONS
1.1This User Agreement, which includes the Operating Rules set forth hereinconstitutes User's Agreement with the American Chamber of Commerce Online("ACCJ Online"), an Internet service of the American Chamber of Commerce in Japan ("ACCJ"), with respect to User's use of the ACCJ Online service (the "Service").
1.2 Use of the service by User constitutes User's agreement with the terms and conditions of this User Agreement. ACCJ Online reserves the right, at its discretion, to change, modify, add, or remove portions of this User Agreement at any time. Notification of changes in service will be posted on the Service, or sent via email, or postal mail.
1.3 IF THESE OPERATING RULES OR ANY FUTURE CHANGES ARE UNACCEPTABLE TO USER, OR CAUSE USER TO NO LONGER BE IN COMPLIANCE WITH THE USER AGREEMENT, USER MAY TERMINATE USE. USER'S CONTINUED USE OF THE SERVICE NOW, OR FOLLOWING THE POSTING OF NOTICE OF ANY CHANGES IN THESE OPERATING RULES, WILL CONSTITUTE A BINDING ACCEPTANCE BY USER OF SUCH RULES, CHANGES, OR MODIFICATIONS.
1.4 ACCJ Online may change, suspend, or discontinue any aspect of the Service at any time, including the availability of any Service feature, database, or content. ACCJ Online may also impose limits on certain features and services or restrict User access to parts or all of the Service without notice or liability.
2. ACCJ CONTENT AND USER SUBMISSIONS
2.1 The contents of the ACCJ Online Internet service are intended for the personal, noncommercial use of its Users. All materials published on ACCJ Online (including, but not limited to articles, photographs, images, illustrations, audio clips and video clips, also known as "The Content") are protected by copyright, and owned or controlled by ACCJ, ACCJ Online, or the party credited as the provider of the content, software, or other materials. User shall abide by all additional copyright notices, information, or restrictions contained in any Content accessed through the Service.
2.2 The Service is protected by copyright as a collective work and/or compilation, pursuant to Japanese copyright laws, international conventions, and other copyright laws. User may not modify, publish, transmit, participate in the transfer or sale of, reproduce (except as provided in this section of the User Agreement), create derivative works from, distribute, perform, display, or in any way exploit, any of the Content, software, materials, or Service in whole or in part.
2.3 User may download or copy the Content and other downloadable items displayed on this Service for personal use only, provided that User maintains all copyright and other notices contained in such Content. User shall not store any significant portion of any Content owned by, or licensed to ACCJ, in any form. Copying or storing of any Content for other than personal, noncommercial use is expressly prohibited without the prior written permission from the ACCJ, or the identified Content provider.
3. ACCESS AND AVAILABILITY OF SERVICE AND LINKS
ACCJ Online contains links to other related World Wide Web Internet sites, resources, and sponsors of ACCJ Online. Since the ACCJ is not responsible for the availability of these outside resources or their contents, User should direct any concerns regarding any external link to its site administrator or webmaster.
4. REPRESENTATIONS AND WARRANTIES
4.1 User represents, warrants, and covenants
(a) that no materials of any kind submitted through User's account will
(i) violate, plagiarize, or infringe upon the rights of any third party, including copyright, trademark, privacy or other personal or proprietary rights; or
(ii) contain libelous or otherwise unlawful material; and
(b) that User is at least eighteen years old. User hereby indemnifies, defends and holds ACCJ and ACCJ Online, and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by User or by any person accessing User's account of the User Agreement or the foregoing representations, warranties and covenants, including, without limitation, reasonable attorneys' fees. User shall cooperate as fully as reasonably required in the defense of any claim. ACCJ reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User.
4.2 Neither ACCJ nor ACCJ Online represents, warrants, or endorses the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the service by any User, information provider or any other person or entity. User acknowledges that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at User's sole risk. ACCJ reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Service and shall not be liable for any loss or damage to User arising either from such errors or omissions, or from the correction thereof.
The Service and all downloadable software are distributed on an "as is" basis without warranties of any kind, either express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose. User hereby acknowledges that use of the Service is at User's sole risk.
5. COMMUNICATIONS BETWEEN ACCJ AND USERS
5.1 ACCJ reserves the right to send electronic mail to any and all Users, to for the purpose of informing them of changes or additions to the Service, or of any ACCJ related products and services.
5.2 ACCJ reserves the right to disclose information about User usage and demographics in forms that do not reveal Users' personal identities.
6. MISCELLANEOUS
6.1 This User Agreement has been made in and shall be construed and enforced in accordance with the laws of Japan. Any dispute arising out of or in connection with this Agreement that cannot be resolved through good-faith negotiation shall be referred to and finally resolved by arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association, which rules are deemed to be incorporated by reference into this agreement. The arbitration shall be conducted in English before a panel of three arbitrators, consisting of one arbitrator selected by each of the parties and a third neutral arbitrator selected by the other two arbitrators to act as chairman. Decisions shall be based upon a majority decision of the panel. The decision of the panel. The decision of the arbitrators may be filed as and shall be enforceable as a judgment of any court of proper jurisdiction.
